Agreement between User and HomestayFinder

The HomestayFinder Web Site is comprised of various Web pages operated by HomestayFinder.

These terms and conditions of service (collectively, with HomestayFinder's Privacy Policy, located at the Privacy section and DMCA Copyright Policy located at Copyright section, the "Terms of Service" or "Agreement") govern your use of the Website and the services, features, content or applications operated by HomestayFinder. Our Data Processing Agreement under the European General Data Protection Regulation (GDPR) forms part of these Terms of Service.

Your use of the HomestayFinder Web Site constitutes your agreement to all such terms, conditions, and notices. By using our Website or purchasing our products or services, you agree that we may use and share your personal information in accordance with the terms of our Privacy Policy.

These Terms of Service provide that all disputes between you and HomestayFinder will be resolved by BINDING ARBITRATION. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT TO ASSERT OR DEFEND YOUR RIGHTS UNDER THIS CONTRACT (except for matters that may be taken to small claims court). Your rights will be determined by a NEUTRAL ARBITRATOR and NOT A JUDGE OR JURY and your claims cannot be brought as a class action. Please review Section 15 below for the details regarding your agreement to arbitrate any disputes with HomestayFinder. NOTHING IN THESE TERMS OF USE SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU. If any provision or provisions of these Terms of Use shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.

SOME JURISDICTIONS HAVE CONSUMER PROTECTION AND OTHER LEGISLATION WHICH MAY APPLY TO THE SERVICES AND WHICH DO NOT ALLOW CERTAIN PROVISIONS SUCH AS LIMITATIONS OF LIABILITY AND EXCLUSION OF CERTAIN WARRANTIES, AMONG OTHERS. TO THE EXTENT THAT A LIMITATION, EXCLUSION, RESTRICTION OR OTHER PROVISION SET OUT BELOW IS SPECIFICALLY PROHIBITED BY APPLICABLE LAW, SUCH LIMITATION, EXCLUSION, RESTRICTION OR PROVISION MAY NOT APPLY TO YOU.

Modification of this Term of Use

HomestayFinder reserves the right to change the terms, conditions, and notices under which the HomestayFinder Web Site is offered, including but not limited to the charges associated with the use of the HomestayFinder Web Site. If any such alterations constitute a material change to these Terms of Service, HomestayFinder will notify you by posting an announcement on the Website. Amendments and modifications shall take effect immediately when posted on the Website. By continuing to access or use the Services after any such amendments or modifications, you agree to be bound by such amended or modified Terms of Service. For this reason, we encourage you to review the Terms of Service whenever you use the Services. If you do not agree to any change to these Terms of Services, then you must immediately stop using the Services.

The HomestayFinder Web Site may contain links to other Web Sites (“Linked Sites”). The Linked Sites are not under the control of HomestayFinder and HomestayFinder is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. HomestayFinder is not responsible for webcasting or any other form of transmission received from any Linked Site. HomestayFinder is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by HomestayFinder of the site or any association with its operators.

No unlawful or prohibited use

As a condition of your use of the HomestayFinder Web Site, you warrant to HomestayFinder that you will not use the HomestayFinder Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the HomestayFinder Web Site in any manner which could damage, disable, overburden, or impair the HomestayFinder Web Site or interfere with any other party’s use and enjoyment of the HomestayFinder Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the HomestayFinder Web Sites.

Conduct or forward surveys, contests, pyramid schemes or chain letters.

Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.

Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.

Restrict or inhibit any other user from using and enjoying the Communication Services.

Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.

Harvest or otherwise collect information about others, including e-mail addresses, without their consent.

Violate any applicable laws or regulations. HomestayFinder has no obligation to monitor the Communication Services. However, HomestayFinder reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. HomestayFinder reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

HomestayFinder reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in HomestayFinder’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. HomestayFinder does not control or endorse the content, messages or information found in any Communication Service and, therefore, HomestayFinder specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized HomestayFinder spokespersons, and their views do not necessarily reflect those of HomestayFinder.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.

Materials provided to HomestayFinder or posted at any HomestayFinder website

HomestayFinder does not claim ownership of the materials you provide to HomestayFinder (including feedback and suggestions) or post, upload, input or submit to any HomestayFinder Web Site or its associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing or submitting your Submission you are granting HomestayFinder, its affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.

No compensation will be paid with respect to the use of your Submission, as provided herein. HomestayFinder is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in HomestayFinder’s sole discretion.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

Your obligatios as a HomestayFinder user

1) You will provide complete and accurate personal information when registering to use the service.

2) You shall not attempt to damage or harm the HomestayFinder web-site or services.

3) You shall not enter obscene or objectionable material on the HomestayFinder web-site website. This includes messages, images, the information in your profile or any other form of information that can be entered on the website. HomestayFinder will be the sole judge or what is considered obscene or objectionable.

4) The member has to be over 18 years old. If you are under 18 years old , your parents or guardian will need to agree to these terms & conditions on your behalf and if you go overseas you must have a guardian who will take care of you there.

Termination and Access Restriction

HomestayFinder reserves the right, in its sole discretion, to terminate your access to the HomestayFinder Web Site and the related services or any portion thereof at any time, without notice. GENERAL To the maximum extent permitted by law, this agreement is governed by the laws of the State of Washington, U.S.A. and you hereby consent to the exclusive jurisdiction and venue of courts in King County, Washington, U.S.A. in all disputes arising out of or relating to the use of the HomestayFinder Web Site. Use of the HomestayFinder Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and HomestayFinder as a result of this agreement or use of the HomestayFinder Web Site. HomestayFinder’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of HomestayFinder’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the HomestayFinder Web Site or information provided to or gathered by HomestayFinder with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

1. INFORMATION WE COLLECT

A. Information You Provide

I. Account Registration. When you register for an Account, we may ask for your contact information, including items such as name, company name, address, email address, and telephone number. If you choose to refer a friend to our Services, we may also collect your friend’s email address so that we may send them a referral or promotional code to sign up for our Services.

II. Payment Information. When you add your financial account information to your Account, that information is directed to our third-party payment processor. We do not store your financial account information on our systems; however, we have access to, and may retain, subscriber information through our third-party payment processor.

III. User Content. Our "Community" feature allows you to publicly post content on our Services. By registering for our Community, you agree that your profile information and the content you post may be viewed and used by other users and third parties we do not control.

IV. Communications. If you contact us directly, we may receive additional information about you such as your name, email address, phone number, the contents of the message and/or attachments you may send us, and any other information you may choose to provide. We may also receive a confirmation when you open an email from us.

The personal information that you are asked to provide, and the reasons why you are asked to provide it, will be made clear to you at the point we ask you to provide your personal information.

    HomestayFinder is committed to protecting your information. To do so, we employ a variety of security technologies and measures designed to protect information from unauthorized access, use, or disclosure. The measures we use are designed to provide a level of security appropriate to the risk of processing your personal information. However, please bear in mind that the Internet cannot be guaranteed to be 100% secure.

    7. DATA RETENTION

    We retain personal information we collect from you where we have an ongoing legitimate business need to do so (for example, to provide you with a service you have requested or to comply with applicable legal, tax, or accounting requirements).

    When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize it or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.

If you terminate your Account, any public activity on your Account prior to deletion may remain stored on our servers and may remain accessible to the public.

The information you provide us may be archived or stored periodically by us according to backup processes conducted in the ordinary course of business for disaster recovery purposes. Your ability to access and correct your information may be temporarily limited where access and correction could: inhibit HomestayFinder's ability to comply with a legal obligation; inhibit HomestayFinder's ability to investigate, make or defend legal claims; result in disclosure of personal information about a third party; or result in breach of a contract or disclosure of trade secrets or other proprietary business information belonging to HomestayFinder or a third party.

You can exercise this right by clicking on the "unsubscribe" or "opt-out" link in the marketing emails we send you. To opt-out of other forms of marketing, please contact us by emailing support@HomestayFinder.com.
  • Similarly, if we have collected and process your personal information with your consent, then you can withdraw your consent at any time. Withdrawing your consent will not affect the lawfulness of any processing we conducted prior to your withdrawal, nor will it affect the processing of your personal information conducted in reliance on lawful processing grounds other than consent.

    Procedure for Reporting Copyright Infringement: If you believe that material or content residing on or accessible through Company's websites or services infringes a copyright, please send a notice of copyright infringement containing the following information to the Designated Agent listed below:

    Customer GDPR Data Processing Agreement

    This Customer Data Processing Agreement reflects the requirements of the European Data Protection Regulation (“GDPR”) as it comes into effect on May 25, 2018. HomestayFinder´s products and services offered in the European Union are GDPR ready and this DPA provides you with the necessary documentation of this readiness.

    This Data Processing Agreement (“DPA”) is an addendum to the Customer Terms of Service (“Agreement”) between HomestayFinder and the Customer. All capitalized terms not defined in this DPA shall have the meanings set forth in the Agreement. Customer enters into this DPA on behalf of itself and, to the extent required under Data Protection Laws, in the name and on behalf of its Authorized Affiliates (defined below).

    The parties agree as follows:

    1. Definitions

    “Affiliate” means an entity that directly or indirectly Controls, is Controlled by or is under common Control with an entity.

    “Authorized Affiliate” means any of Customer Affiliate(s) permitted to or otherwise receiving the benefit of the Services pursuant to the Agreement.

    “Control” means an ownership, voting or similar interest representing fifty percent (50%) or more of the total interests then outstanding of the entity in question. The term “Controlled” shall be construed accordingly.

    “Controller” means an entity that determines the purposes and means of the processing of Personal Data.

    “Customer Data” means any data that HomestayFinder and/or its Affiliates processes on behalf of Customer in the course of providing the Services under the Agreement.

    “Data Protection Laws” means all data protection and privacy laws and regulations applicable to the processing of Personal Data under the Agreement, including, where applicable, EU Data Protection Law.

    “EU Data Protection Law” means (i) prior to May 25, 2018, Directive 95/46/EC of the European Parliament and of the Council on the protection of individuals with regard to the processing of Personal Data and on the free movement of such data (“Directive”) and on and after May 25, 2018, Regulation 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of Personal Data and on the free movement of such data (General Data Protection Regulation) (“GDPR”); and (ii) Directive 2002/58/EC concerning the processing of Personal Data and the protection of privacy in the electronic communications sector and applicable national implementations of it (in each case, as may be amended, superseded or replaced).

    “Personal Data” means any Customer Data relating to an identified or identifiable natural person to the extent that such information is protected as personal data under applicable Data Protection Law.

    “Privacy Shield” means the EU-US and Swiss-US Privacy Shield Frameworks, as administered by the U.S. Department of Commerce.

    “Privacy Shield Principles” means the Privacy Shield Framework Principles (as supplemented by the Supplemental Principles) contained in Annex II to the European Commission Decision of 12 July 2016 pursuant to the Directive, details of which can be found at www.privacyshield.gov/eu-us-framework.

    “Processor” means an entity that processes Personal Data on behalf of the Controller.

    “Processing” has the meaning given to it in the GDPR and “process”, “processes” and “processed” shall be interpreted accordingly.

    “Security Incident” means any unauthorized or unlawful breach of security that leads to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of or access to Personal Data.

    “Services” means any product or service provided by HomestayFinder to Customer pursuant to and as more particularly described in the Agreement.

    “Sub-processor” means any Processor engaged by HomestayFinder or its Affiliates to assist in fulfilling its obligations with respect to providing the Services pursuant to the Agreement or this DPA. Sub-processors may include third parties or any HomestayFinder Affiliate.

    2. Scope and Applicability of this DPA

    2.1 This DPA applies where and only to the extent that HomestayFinder processes Personal Data on behalf of the Customer in the course of providing the Services and such Personal Data is subject to Data Protection Laws of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom. The parties agree to comply with the terms and conditions in this DPA in connection with such Personal Data.

    2.2 Role of the Parties. As between HomestayFinder and Customer, Customer is the Controller of Personal Data and HomestayFinder shall process Personal Data only as a Processor on behalf of Customer. Nothing in the Agreement or this DPA shall prevent HomestayFinder from using or sharing any data that HomestayFinder would otherwise collect and process independently of Customer's use of the Services.

    2.3 Customer Obligations. Customer agrees that (i) it shall comply with its obligations as a Controller under Data Protection Laws in respect of its processing of Personal Data and any processing instructions it issues to HomestayFinder; and (ii) it has provided notice and obtained (or shall obtain) all consents and rights necessary under Data Protection Laws for HomestayFinder to process Personal Data and provide the Services pursuant to the Agreement and this DPA.

    2.4 HomestayFinder Processing of Personal Data. As a Processor, HomestayFinder shall process Personal Data only for the following purposes: (i) processing to perform the Services in accordance with the Agreement; (ii) processing to perform any steps necessary for the performance of the Agreement; and (iii) to comply with other reasonable instructions provided by Customer to the extent they are consistent with the terms of this Agreement and only in accordance with Customer’s documented lawful instructions. The parties agree that this DPA and the Agreement set out the Customer’s complete and final instructions to HomestayFinder in relation to the processing of Personal Data and processing outside the scope of these instructions (if any) shall require prior written agreement between Customer and HomestayFinder.

    2.5 Nature of the Data. HomestayFinder handles Customer Data provided by Customer. Such Customer Data may contain special categories of data depending on how the Services are used by Customer. The Customer Data may be subject to the following process activities: (i) storage and other processing necessary to provide, maintain and improve the Services provided to Customer; (ii) to provide customer and technical support to Customer; and (iii) disclosures as required by law or otherwise set forth in the Agreement.

    2.6 HomestayFinder Data. Notwithstanding anything to the contrary in the Agreement (including this DPA), Customer acknowledges that HomestayFinder shall have a right to use and disclose data relating to and/or obtained in connection with the operation, support and/or use of the Services for its legitimate business purposes, such as billing, account management, technical support, product development and sales and marketing. To the extent any such data is considered personal data under Data Protection Laws, HomestayFinder is the Controller of such data and accordingly shall process such data in compliance with Data Protection Laws.

    3. Subprocessing

    3.1 Authorized Sub-processors. Customer agrees that HomestayFinder may engage Sub-processors to process Personal Data on Customer's behalf.

    3.2 Sub-processor Obligations. HomestayFinder shall: (i) enter into a written agreement with the Sub-processor imposing data protection terms that require the Sub-processor to protect the Personal Data to the standard required by Data Protection Laws; and (ii) remain responsible for its compliance with the obligations of this DPA and for any acts or omissions of the Sub-processor that cause HomestayFinder to breach any of its obligations under this DPA.

    3.3 Changes to Sub-processors. HomestayFinder shall provide Customer reasonable advance notice (for which email shall suffice) if it adds or removes Sub-processors.

    3.4 Objection to Sub-processors. Customer may object in writing to HomestayFinder’s appointment of a new Sub-processor on reasonable grounds relating to data protection by notifying HomestayFinder promptly in writing within five (5) calendar days of receipt of HomestayFinder’s notice in accordance with Section 3.3. Such notice shall explain the reasonable grounds for the objection. In such event, the parties shall discuss such concerns in good faith with a view to achieving commercially reasonable resolution. If this is not possible, either party may terminate the applicable Services that cannot be provided by HomestayFinder without the use of the objected-to-new Sub-processor.

    4. Security
    4.1 Security Measures. HomestayFinder shall implement and maintain appropriate technical and organizational security measures to protect Personal Data from Security Incidents and to preserve the security and confidentiality of the Personal Data, in accordance with HomestayFinder's security standards described in Annex B (“Security Measures”).

    4.2 Confidentiality of Processing. HomestayFinder shall ensure that any person who is authorized by HomestayFinder to process Personal Data (including its staff, agents and subcontractors) shall be under an appropriate obligation of confidentiality (whether a contractual or statutory duty).

    4.3 Security Incident Response. Upon becoming aware of a Security Incident, HomestayFinder shall notify Customer without undue delay and shall provide timely information relating to the Security Incident as it becomes known or as is reasonably requested by Customer.

    4.4 Updates to Security Measures. Customer acknowledges that the Security Measures are subject to technical progress and development and that HomestayFinder may update or modify the Security Measures from time to time provided that such updates and modifications do not result in the degradation of the overall security of the Services purchased by the Customer.

    5. Security Reports and Audits

    5.1 HomestayFinder shall maintain records of its security standards. Upon Customer's written request, HomestayFinder shall provide (on a confidential basis) copies of relevant external ISMS certifications, audit report summaries and/or other documentation reasonably required by Customer to verify HomestayFinder's compliance with this DPA. HomestayFinder shall further provide written responses (on a confidential basis) to all reasonable requests for information made by Customer, including responses to information security and audit questionnaires, that Customer (acting reasonably) considers necessary to confirm HomestayFinder's compliance with this DPA, provided that Customer shall not exercise this right more than once per year.

    6. International Transfers

    6.1 Processing Locations. HomestayFinder stores and processes EU Data (defined below) in data centers located inside and outside the European Union. All other Customer Data may be transferred and processed in the United States and anywhere in the world where Customer, its Affiliates and/or its Sub-processors maintain data processing operations. HomestayFinder shall implement appropriate safeguards to protect the Personal Data, wherever it is processed, in accordance with the requirements of Data Protection Laws.

    6.2 Transfer Mechanism: Notwithstanding Section 6.1, to the extent HomestayFinder processes or transfers (directly or via onward transfer) Personal Data under this DPA from the European Union, the European Economic Area and/or their member states and Switzerland (“EU Data”) in or to countries which do not ensure an adequate level of data protection within the meaning of applicable Data Protection Laws of the foregoing territories, the parties agree that HomestayFinder shall be deemed to provide appropriate safeguards for such data by virtue of having certified its compliance with the Privacy Shield and HomestayFinder shall process such data in compliance with the Privacy Shield Principles. Customer hereby authorises any transfer of EU Data to, or access to EU Data from, such destinations outside the EU subject to any of these measures having been taken.

    7. Return or Deletion of Data

    7.1 Upon deactivation of the Services, all Personal Data shall be deleted, save that this requirement shall not apply to the extent HomestayFinder is required by applicable law to retain some or all of the Personal Data, or to Personal Data it has archived on back-up systems, which such Personal Data HomestayFinder shall securely isolate and protect from any further processing, except to the extent required by applicable law.

    8. Cooperation

    8.1 To the extent that Customer is unable to independently access the relevant Personal Data within the Services, HomestayFinder shall (at Customer's expense) taking into account the nature of the processing, provide reasonable cooperation to assist Customer by appropriate technical and organizational measures, in so far as is possible, to respond to any requests from individuals or applicable data protection authorities relating to the processing of Personal Data under the Agreement. In the event that any such request is made directly to HomestayFinder, HomestayFinder shall not respond to such communication directly without Customer's prior authorization, unless legally compelled to do so. If HomestayFinder is required to respond to such a request, HomestayFinder shall promptly notify Customer and provide it with a copy of the request unless legally prohibited from doing so.

    8.2 To the extent HomestayFinder is required under Data Protection Law, HomestayFinder shall (at Customer's expense) provide reasonably requested information regarding HomestayFinder's processing of Personal Data under the Agreement to enable the Customer to carry out data protection impact assessments or prior consultations with data protection authorities as required by law.

    9. Miscellaneous

    9.1 Except for the changes made by this DPA, the Agreement remains unchanged and in full force and effect. If there is any conflict between this DPA and the Agreement, this DPA shall prevail to the extent of that conflict.

    9.2 This DPA is a part of and incorporated into the Agreement so references to "Agreement" in the Agreement shall include this DPA.

    9.3 In no event shall any party limit its liability with respect to any individual's data protection rights under this DPA or otherwise.

    9.4 This DPA shall be governed by and construed in accordance with governing law and jurisdiction provisions in the Agreement, unless required otherwise by Data Protection Laws.
